Circular Letter – Reporting Requirements for Beneficial Ownership by Reporting Entities
The Trinidad and Tobago Securities and Exchange Commission issued this circular to remind reporting entities of their obligations under Section 136A of the Securities Act following recent amendments. Reporting entities must ascertain, verify, and maintain an up-to-date register of beneficial owners, while submitting annual reports within twenty-one days of their financial year-end and notifying the Commission of any changes within thirty days. Failure to comply with these requirements constitutes a breach of the Securities Act, rendering entities liable to fines under Section 138.
