The Policy Statement to Regulation 45-106 is amended to update terminology, including replacing "personne liée" with "partie liée" and "section 5A.2" with "Part 5A". It establishes that successor issuers need not consider predecessor distributions when calculating increases in outstanding listed equity securities, and clarifies that while no minimum offering amount is required, issuers must ensure sufficient available funds for short-term liquidity, generally defined as 12 months for revenue-generating entities. The document also extends various timeframes, changing references from 12 months to 18 months for financial statement relevance and offering document details, and updates disclosure requirements by replacing "significant decline" with "significant change" and adjusting page length expectations.
