Amendments to the Prospectus Regulation and the Market Abuse Regulation Pursuant to the EU Listing Act

The document details amendments to the Prospectus Regulation and the Market Abuse Regulation (MAR) that apply from 5 June 2026. Under the Prospectus Regulation, the exemption threshold for publishing a prospectus is increased from €8 million to €12 million per issuer or offeror, with Member States retaining discretion to set a lower threshold of at least €5 million. The amendments also introduce a maximum length of 300 A4 pages for share prospectuses, standardize summary structures, allow prospectuses to be drawn up in a language customary in international finance, and require European Green Bond prospectuses to incorporate relevant factsheets by reference. Regarding the MAR, the amendments exempt intermediate steps in protracted processes from immediate public disclosure, mandate confidentiality of inside information until disclosure, and clarify delayed disclosure requirements for issuers on SME growth markets.
