Commission Delegated Regulation (EU) 2026/1061 of 7 May 2026 amending Delegated Regulation (EU) 2019/980 on standardised format, sequence, streamlined content, scrutiny and approval of the prospectus
Delegated Regulation (EU) 2019/980 is amended to introduce a single registration document and securities note for non-equity securities under new Articles 7a and 15a, distinguishing between wholesale-specific and retail-specific information. A definition for "EU IPO prospectus" is added for initial public offers of shares admitted to trading on a regulated market for the first time, and a standardized format for equity securities prospectuses drawn up as a single document requires a sequence of table of contents, summary, risk factors, and other information. New Article 23a mandates additional ESG information from Annex 23 for non-equity securities advertised as taking into account ESG factors, excluding European Green Bonds and sustainability-linked bonds that meet conditions in Regulation (EU) 2023/2631. Competent authorities are authorized under Article 23b to decide how information items are included for securities types not covered by existing Annexes, while Articles 7, 8, 15, and 16 of the previous regulation are deleted.
