The European Commission establishes the minimum information content for documents published to exempt transactions from prospectus requirements under Regulation (EU) 2017/1129. Issuers must include specific details regarding the issuer, offeree company, and transaction impact, with expanded disclosures required for non-fungible securities or reverse acquisitions. A reduced content regime applies when fungible equity securities represent no more than 10% of those already admitted to trading. The regulation also permits incorporation by reference for electronically published information and mandates disclosures for issuers with complex financial histories or significant financial commitments.
