Rule · CVM · 22 Mar 2006
Offerors and Lead Intermediary Institutions must obtain automatic registration for public securities distribution offers after five business days, provided they submit requests with required documents and waive no CVM Instruction 400 requirements. This applies to simple debentures under a filed program, commercial promissory notes valued at least R$ 500,000.00, or offers to no more than 20 investors excluding most investment funds. Participants must publish a Distribution Start Notice and Final Prospectus, disclose investor details for targeted offers, and refrain from advertising or trading restricted securities for eighteen months. Non-compliance constitutes a serious offense, allowing the CVM to suspend or cancel registrations.
