Rule · CVM · 7 Aug 1998
Publicly held companies must obtain Board approval and publish a notice within two days to move from a stock exchange to the organized over-the-counter market, allowing minority shareholders up to 45 days to object; this change requires no objections from holders of at least 51% of circulating shares. Moving to the unorganized over-the-counter market requires approval by shareholders representing at least 51% of capital and no express opposition from minority shareholders holding more than five percent of shares if they number over one hundred. This instruction amends CVM Instruction No. 243 and enters force upon publication in the Official Gazette of the Union.
