CVM Instruction No. 345 replaces specific articles of CVM Instructions No. 229/95 and No. 299/99, entering into force upon publication. Controlling shareholders must ensure public offers target all circulating shares and specify if they will acquire up to one-third of shares if registration cancellation requirements are unmet. Minority shareholders holding over one-third of shares may dictate offer conduct, including proportional acquisition limits. If registration is not cancelled, controlling shareholders are prohibited from making new public offers for two years, subject to a one-third aggregate share limit.
