Rule · CVM · 8 Dec 2006
FIDC-NP administrators must restrict secondary market trading and applications to professional investors, unless shares exceed R$1,000,000.00 or subscriptions are paid in credit rights. Public distributions require a prospectus per CVM Instruction No. 400, and shareholders must attest to receiving it and understanding risks. Registration requests need legal opinions on credit rights validity and, for public power credits, Ministry of Finance authorization. The CVM has 20 business days to review initial requests, extendable once by 20 days, with automatic approval if silent. Funds operating at entry into force must adapt to these rules for new offerings.
