Rule · CVM · 22 Mar 2017
Issuing companies must register distribution programs for promissory notes and simple debentures with the CVM, assisted by an intermediary institution. Programs last four years and require applicants to meet financial thresholds (R$500 million in past distributions or R$2 billion market cap) and operational history. Registration demands specific documents, including a prospectus and issuance deed, with CVM analysis taking ten business days. Offers are prohibited if the issuer has modified audit opinions, defaulted on debts, or missed filing deadlines.
