CVM Resolution No. 85 of March 31, 2022

Offerors must conduct Public Tender Offers (OPA) indiscriminately to all holders of the same share class, ensuring pro-rata allocation and equitable treatment. They must maintain confidentiality until disclosure, use uniform pricing unless justified by valuation, and register the OPA with the CVM prior to launch. Intermediation by a securities brokerage is mandatory, prohibiting the intermediary from trading target securities during the process. Offerors must file valuation reports and addenda for modifications within specified deadlines, such as 10 days for price increases.
