Institutions must establish risk, nomination, and remuneration committees if significant, chaired by non-executive members. The management body must define governance arrangements, oversee strategy, and ensure internal control functions are independent and report directly to it. The chair must be non-executive and cannot simultaneously serve as CEO. Institutions must implement conflict of interest policies, whistleblowing procedures, and adequate resources for risk management and compliance.
