WHEREAS:

File No. 2024026406 initiated by Pandero S.A. EAFC, as well as Report No. 1316-2024-SMV/10.2 of 10 October 2024;

CONSIDERING:

That, by General Intendancy Resolution for Supervision of Entities No. 107-2024-SMV/10.2 of 08 August 2024, the collective funds program called "Pandero C-9" was authorized, as well as its respective contract models to be used by Pandero S.A. EAFC for its administration, and its registration in the Special Registry of Other Entities under the competence of the SMV was ordered;

That, by writings submitted up to 4 October 2024, Pandero S.A. EAFC requested authorization for the modification of the "Pandero C-9" program and of the collective funds administration contract for predetermined brands used in the management of the referred program;

That, from the evaluation of the documentation submitted, it has been determined that Pandero S.A. EAFC has complied with: (i) the provisions of articles 29 and 30 of the Regulation of the Collective Funds System and its Administrating Companies; and (ii) the Single Text of Administrative Procedures of the Superintendency of the Market in Securities, approved by Superintendent Resolution No. 023-2015-SMV/02, for the authorization of the modifications to the "Pandero C-9" program and to the collective funds administration contract for predetermined brands, as well as for its registration in the Special Registry of Other Entities under the competence of the SMV; as developed in Report No. 1316-2024-SMV/10.2; and,

In accordance with the provisions of article 38, numeral 5, subparagraphs ix) and x), of the Regulation of Organization and Functions of the Superintendency of the Market in Securities.

RESOLVES:

Article 1.- Authorize the modification of the "Pandero C-9" program and of the collective funds administration contract for predetermined brands, used by Pandero S.A. EAFC in the management of the referred program, and order its registration in the Special Registry of Other Entities under the competence of the Superintendency of the Market in Securities.

Article 2.- The modifications referred to in the preceding article shall enter into force on the business day following the communication indicated in the last paragraph of article 32 of the Regulation of the Collective Funds System and its Administrating Companies.

Article 3.- The modifications referred to in article 1 of this resolution shall apply to groups formed after its entry into force.

Article 4.- Order the dissemination of this resolution on the Market in Securities Portal of the Superintendency of the Market in Securities (www.gob.pe/smv).

Article 5.- Transcribe this resolution to Pandero S.A. EAFC.
