General Superintendent Resolution for Entity Supervision No. 158-2024-SMV/10.2 Lima, November 29, 2024 The General Superintendent for Entity Supervision HAVING SEEN:
File No. 2021002752 initiated by Pandero S.A.
EAFC, as well as Report No. 1582-2024-SMV/10.2 dated November 28, 2024; CONSIDERING:
That, by General Superintendent Resolution for Entity Supervision No. 132-2015-SMV/10.2 dated December 24, 2015, the collective fund program named "Pandero C-4" was authorized, as well as its respective contract model to be used by Pandero S.A. EAFC for its administration, and its registration in the Special Registry of Other Entities under the competence of the SMV was ordered; That, through writings submitted until November 26, 2024, Pandero S.A. EAFC requested authorization for the modification of the "Pandero C-4" program and the administration contract model used in the management of said program; That, from the evaluation of the documentation presented, it has been determined that Pandero S.A. EAFC has complied with: (i) what is established in articles 29 and 30 of the Regulations of the Collective Funds System and its Administrator Companies, approved by SMV Resolution No. 020-2014-SMV-01; and (ii) the Single Text of Administrative Procedures of the Securities Market Superintendence, approved by Superintendent Resolution No. 023-2015-SMV/02, for the authorization of the modifications of the "Pandero C-4" program and the administration contract model used in the management of said program, as well as for its registration in the Special Registry of Other Entities under the competence of the SMV; as developed in Report No. 1582-2024-SMV/10.2; and, Being subject to what is established in article 38, numeral 5, subsections ix) and x), of the Regulations on Organization and Functions of the Securities Market Superintendence.

RESOLVES:
Article 1st.- Authorize the modification of the "Pandero C-4" program and the collective fund administration contract for predetermined brands, used by Pandero S.A. EAFC in the management of said program, and order its registration in the Special Registry of Other Entities under the competence of the Securities Market Superintendence.
Article 2nd.- The modifications referred to in the preceding article shall enter into force on the business day following the occurrence of the communication indicated in the last paragraph of article 32 of the Regulations of the Collective Funds System and its Administrator Companies.
Article 3rd.- The modifications referred to in article 1 of this resolution shall apply to groups formed after their entry into force.
Article 4th.- Order the dissemination of this resolution on the Securities Market Portal of the Securities Market Superintendence (www.gob.pe/smv).
Article 5th.- Transcribe this resolution to Pandero S.A. EAFC.
