Macrocapitales Fund Administrator Company S.A. and Report No. 11-2025- SMV/10.2 of January 03, 2025 from the General Supervision of Entities of the Securities Market Superintendence; CONSIDERING:
That, through CONASEV Resolution No. 103-2010- EF/94.10 of October 18, 2010, the operation of Macrocapitales Fund Administrator Company S.A. was authorized to act as a fund administrator for investment funds. Likewise, through Superintendent Resolution No. 018-2024- SMV/02 of February 29, 2024, MACROCAPITALES was authorized to additionally administer mutual investment funds in securities;

The integrity of the document and the authorship of the signature(s) can be verified at https://apps.firmaperu.gob.pe/web/validador.xhtml That, Article 12 of the Common Norms for entities that require authorization for organization and operation of the SMV, approved by SMV Resolution No. 039-2016-SMV/01 and modifications, establishes that any transfer of shares that allows a natural or legal person to exceed the direct or indirect ownership of more than 10% of the share capital of an Entity, must have prior authorization from the SMV. To this end, it must comply with presenting the information required to request organization authorization, as applicable, and the procedure regulated in the aforementioned norm shall apply to it; That, through writings submitted until December 22, 2024, Macrocapitales Fund Administrator Company S.A. requested authorization from the Securities Market Superintendence, for the transfer of shares representing its share capital owned by Mr. Gonzalo Francisco Alberto Tamayo Flores for the amount of 69,780 shares with voting rights in favor of Mr. Mateo Moreyra Ocampo, a transfer that represents 1.52% of participation in the share capital;

The integrity of the document and the authorship of the signature(s) can be verified at https://apps.firmaperu.gob.pe/web/validador.xhtml That, said transfer represents the acquisition by Mr. Mateo Moreyra Ocampo of a participation in Macrocapitales Fund Administrator Company S.A. that exceeds the limit of 10% of the share capital established in the Common Norms for entities that require authorization for organization and operation of the SMV, which is why it is necessary to evaluate compliance with the requirements established in said norms in order to authorize the transfer; That, from the evaluation carried out on the documentation presented, it has been verified that Macrocapitales Fund Administrator Company S.A. has complied with the necessary requirements established in the Common Norms for entities that require authorization for organization and operation of the SMV. This, in order to obtain authorization for the transfer of the shares representing the share capital of Macrocapitales Fund Administrator Company S.A. in favor of Mr. Mateo Moreyra Ocampo. It should be noted that with this transfer he will reach a total participation of 11.11% in the aforementioned company, as developed in Report No. 11-2025-SMV/10.2 of the General Supervision of Entities; and, Being in accordance with what is provided in Article 12 of the Common Norms for entities that require authorization for organization and operation of the SMV, and in application of Article 38, numeral 5, literal iii, of the Regulation of Organization and Functions of the Securities Market Superintendence, approved through Supreme Decree No. 216-2011-EF and its modifications; RESOLVES:
Article 1st.- Authorize the transfer of 69,780 shares
with voting rights, representing 1.52% of the share capital of Macrocapitales Fund Administrator Company S.A., owned by Mr. Gonzalo Francisco Alberto Tamayo Flores in favor of Mr. Mateo Moreyra Ocampo.
Article 2nd.- Order the dissemination of this resolution
on the Securities Market Portal of the Securities Market Superintendence (https://www.gob.pe/smv).
Article 3rd.- Transcribe this resolution to
Macrocapitales Fund Administrator Company S.A.
