Guidelines for the removal of a reporting issuer

The Trinidad and Tobago Securities and Exchange Commission issues these guidelines to standardize the procedure for declaring an issuer no longer a reporting issuer under section 64(6) of the Securities Industry Act, 1995. The document mandates that applicants provide evidence that equity securities are de-listed or debt securities have matured, been repurchased, or are held by fewer than thirty-five consenting investors. The Commission may issue a final order without a hearing if the matter is procedural or does not adversely affect interested persons, otherwise an interim order and a formal hearing are required before a final determination is made.
