Termination of a Foreign Private Issuer's Registration of a Class of Securities Under Section 12(g) and Duty To File Reports Under Section 13(a) or 15(d) of the Securities Exchange Act of 1934

The Securities and Exchange Commission reproposes amendments to rules governing when a foreign private issuer may terminate its Exchange Act registration and reporting obligations. The proposed Rule 12h-6 would allow termination of reporting for equity securities under sections 12(g) or 15(d) if the issuer meets a quantitative benchmark comparing the average daily trading volume in the United States to that in its primary trading market. The proposal also introduces Form 15F and amends Rules 12g-4 and 12h-3 to facilitate this exit process. Comments on the reproposed rules must be received by February 12, 2007.
