Guidelines on the STS criteria for ABCP securitisation

Sponsors, originators, and original lenders must ensure ABCP programmes exclude mixed STS/non-STS issues, severe clawbacks, and active portfolio management. Transactions must rely exclusively on underlying exposure performance, prohibiting exposures to credit-impaired debtors without full guarantees. Derivatives are limited to genuine hedging using ISDA standards. Sponsors must disclose liquidity facilities, provide legal opinions on true sales, and maintain external verification at least annually. Non-compliance thresholds trigger STS loss if non-compliant exposures exceed 5% or persist beyond six months.
