On the Registration in

the Register of Securities Issuers, for the Joint Stock Company "APĂ-CANAL LEOVA"

Following the examination of the application submitted by the Joint Stock Company "APĂ-CANAL LEOVA" (15.01.2025) regarding the registration in the Register of Securities Issuers of the restructuring of the prior issuance of securities and the increase of share capital, as well as the related documents, presented in full volume on 28.01.2025,

on the basis of Law No. 1134/1997 on Joint Stock Companies, Art. 8 lit. m) and lit. o), Art. 20 para. (1) and Art. 22 para. (3) of Law No. 192/1998 on the National Financial Commission, the Instruction on the stages, deadlines, method and procedures for the registration of securities (Decision of the NFC No. 13/10/2018), pts. 16, 19 and 21 of the Regulation on the organization and functioning of the National Financial Commission (Decision of the NFC No. 57/11/2022),

The National Financial Commission DECIDES:

1. The restructuring of the prior issuance of securities, placed by the Joint Stock Company "APĂ-CANAL LEOVA" (IDNO 1004605002862, MD-6301, Leova district, Leova city, Independenței str. 25), is registered in the Register of Securities Issuers, by increasing the nominal value of one ordinary registered share from 10 lei to 250 lei, and increasing the share capital by 580,800 lei, from equity capital. The share capital of the company, after restructuring and increase, will amount to 605,000 lei, divided into 2,420 ordinary registered shares, with a nominal value of one share of 250 lei and identification number MD14PNAL1008.

2. This Decision may be appealed by submitting a preliminary application to the NFC (MD-2012, Chișinău city, Ștefan cel Mare și Sfânt blvd., no. 77), within 30 days from the date of notification.

3. This Decision enters into force on the date of adoption, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the NFC (www.cnpf.md).
