Public Companies (Employees Stock Option Scheme) Rules, 2001

All public companies must constitute a Compensation Committee (excluding employee-directors) before offering any Scheme, obtain shareholder special resolution approval, and grant options only to regular employees on the payroll. A minimum one-year gap between grant and vesting applies; options are non-transferable, non-pledgeable, and lapse on failure to exercise. Separate shareholder approval is required for grants to subsidiary or holding company employees, or to identified employees equalling or exceeding one per cent of issued capital in any year. Non-compliance carries a fine up to two thousand rupees, plus one hundred rupees per continuing day.
