FINANCIAL SERVICES AUTHORITY REGULATION
NUMBER 53 /POJK.04/2017
ON
REGISTRATION STATEMENTS IN THE CONTEXT OF PUBLIC OFFERINGS AND CAPITAL INCREASES BY GRANTING PREEMPTIVE RIGHTS BY EMITTERS WITH SMALL-SCALE ASSETS OR EMITTERS WITH MEDIUM-SCALE ASSETS
I. GENERAL
As regulated in Article 70 paragraph (1) of Law Number 8 of 1995 concerning Capital Markets, which essentially regulates that any party conducting a Public Offering must submit a Registration Statement to the Financial Services Authority and such Registration Statement must become effective. Furthermore, based on the authority granted by Law Number 8 of 1995 concerning Capital Markets, the Financial Services Authority has the authority to regulate documents that must be submitted at the time of submitting the Registration Statement. Regulations regarding documents that must be submitted for the submission of Registration Statements in the context of Public Offerings by Small-Scale Asset Emitters or Medium-Scale Asset Emitters are currently regulated by Regulation Number IX.C.7, appendix of the Decision of the Chairman of the Capital Market Supervisory Agency Number Kep-11/PM/1997 regarding Guidelines on the Form and Content of Registration Statements in the Context of Public Offerings by Medium or Small Companies. However, in development, there is a need to adjust the definitions regarding Small-Scale Asset Emitters or Medium-Scale Asset Emitters and simplify the Registration Statement documents so as to facilitate access for Small-Scale Asset Emitters or Medium-Scale Asset Emitters to utilize the capital market as a funding source through Public Offerings.
Based on the above, in the revision of Regulation Number IX.C.7, changes are made to the definitions of Small-Scale Asset Emitters or Medium-Scale Asset Emitters by separating the definitions for each Emitter and regulating the classification limits of total assets and the amount of Public Offerings that can be conducted by Small-Scale Asset Emitters or Medium-Scale Asset Emitters. Small-Scale Asset Emitters or Medium-Scale Asset Emitters in this regulation revision are Emitters in the form of legal entities, including limited liability companies, foundations, and cooperatives. Furthermore, the Registration Statement documents in the context of Public Offerings by Small-Scale Asset Emitters or Medium-Scale Asset Emitters are simplified, including:
a. the use of different accounting standards for Small-Scale Asset Emitters, where Small-Scale Asset Emitters can use accounting standards for entities without public accountability; b. shortening the audit period requirements for financial reports in the context of Public Offerings, where for Small-Scale Asset Emitters audited financial reports must be 1 (one) year or since establishment if less than 1 (one) year, while for Medium-Scale Asset Emitters must be 2 (two) years or since establishment if less than 2 (two) years; and
c. removing the requirement to use comfort letters and management statements in the field of accounting as Registration Statement documents in the context of Public Offerings for Small-Scale Asset Emitters or Medium-Scale Asset Emitters.
In addition to the above, flexibility is provided in the application of governance provisions for Small-Scale Asset Emitters or Medium-Scale Asset Emitters.
