The amendments to Regulation 45-106 define "successor issuer" and update the Listed Issuer Financing Exemption in section 5A.2 by raising the distribution threshold to $25,000,000 and increasing the market value cap to $50,000,000. The rules now require that distributions not result in a more than 50% increase in outstanding listed equity securities over a 12-month period and prohibit transactions that create control persons or majority voting power. Form 45-106F19 is updated to allow filing without a determined offering price, extend the look-back period for financial statements to 18 months, and mandate disclosure of business objectives, milestones, and specific going concern risks.
