Regulation to Amend Regulation 45-106 Respecting Prospectus Exemptions
This regulation, issued under the Securities Act, amends Regulation 45-106 respecting Prospectus Exemptions and completely replaces Form 45-106F1, the Report of Exempt Distribution. It updates definitions, changes the SEDAR website reference to SEDARplus.com, and mandates that issuers or underwriters file reports of exempt distribution and pay fees through the System for Electronic Data Analysis and Retrieval + (SEDAR+) in accordance with Regulation 13-103. The revised Form 45-106F1 provides comprehensive instructions for reporting, including details on currency conversion, security codes, information about purchasers and compensation, and specific requirements for investment fund issuers and foreign entities.
