Resolution of the General Intendancy of Supervision of Entities

The General Intendant of Supervision of Entities

WHEREAS:

File No. 2024041010 initiated by Promotora Opción S.A. EAFC, as well as Report No. 1534-2024-SMV/10.2 of 19 November 2024;

CONSIDERING:

That, by Resolution of the General Intendancy of Supervision of Entities No. 092-2022-SMV/10.2 of 3 August 2022, the collective funds program called "Opción Pro 21" was authorized, as well as its respective contract model to be used by Promotora Opción S.A. EAFC for its administration, and its registration in the Special Registry of Other Entities under the competence of the SMV was ordered;

That, by writings submitted up to 13 November 2024, Promotora Opción S.A. EAFC requested authorization for the modification of the "Opción Pro 21" program and of the administration contract model used in the management of the aforementioned program;

That, from the evaluation of the documentation submitted, it has been determined that Promotora Opción S.A. EAFC has complied with: (i) the provisions of articles 29 and 30 of the Regulation of the Collective Funds System and its Managing Companies, approved by SMV Resolution No. 020-2014-SMV-01; and (ii) the Single Text of Administrative Procedures of the Superintendency of the Market in Securities, approved by Superintendent Resolution No. 023-2015-SMV/02, for the authorization of the modifications of the "Opción Pro 21" program and of the administration contract model used in the management of the aforementioned program, as well as for its registration in the Special Registry of Other Entities under the competence of the SMV; as developed in Report No. 1534-2024-SMV/10.2; and,

In accordance with the provisions of article 38, numeral 5, subparagraphs ix) and x), of the Regulation of Organization and Functions of the Superintendency of the Market in Securities, approved by.

RESOLVES:

Article 1.- To authorize the modification of the "Opción Pro 21" program and of the administration contract model used by Promotora Opción S.A. EAFC in the management of the aforementioned program, and to order its registration in the Special Registry of Other Entities under the competence of the Superintendency of the Market in Securities.

Article 2.- The modifications referred to in the preceding article shall enter into force on the business day following the communication indicated in the last paragraph of article 32 of the Regulation of the Collective Funds System and its Managing Companies.

Article 3.- The modifications referred to in article 1 of this resolution shall be applicable to groups formed after its entry into force.

Article 4.- To order the dissemination of this resolution on the Market in Securities Portal of the Superintendency of the Market in Securities (www.gob.pe/smv).

Article 5.- To transcribe this resolution to Promotora Opción S.A. EAFC.
