Schemes of Arrangement by Listed Entities and Relaxation under Sub‑rule (7) of Rule 19 of the Securities Contracts (Regulation) Rules, 1957

All listed entities must ensure that any dues, fines or penalties owed to SEBI, the recognized stock exchanges or the depositories are fully paid before filing a draft scheme of arrangement, and if any such dues remain unpaid they must submit a ‘Report on the Unpaid Dues’ in the format prescribed in Annexure B together with the draft scheme. Recognised stock exchanges are required to forward the Unpaid Dues Report to SEBI before SEBI communicates its comments on the draft scheme, to disseminate the circular to listed companies and publish it on their websites, and to provide SEBI with monthly development reports on implementation. Any misstatement or false information in the report will attract punitive action under applicable laws. The amendment is made under the powers conferred by the SEBI Act, the Listing Obligations and Disclosure Requirements Regulations, 2015 and Rule 19(7) of the Securities Contracts (Regulation) Rules, 1957.
