The Securities and Exchange Commission of Pakistan substitutes Clause 1, sub-clause (3) of the Sixth Schedule to the Companies Ordinance, 1984, to define the fee for registering an increase in share capital as the difference between the fee payable on the increased capital and the fee payable on the capital immediately before the increase. A proviso exempts this fee for the registration of an increase in authorized share capital of a transferee company following a court-sanctioned merger, up to the aggregate authorized capital of the transferor and transferee companies. An explanation specifies that for companies originally formed on a physical basis now opting for online submission, the fee difference is calculated using rates applicable to companies formed via online submission.
