The Superintendent of the Securities Market

WHEREAS:

File No. 2024003119, as well as Report No. 290-2024-SMV/10.2, issued by the General Intendancy of Entity Supervision, with the favorable endorsement of the Deputy Superintendent of Prudential Supervision;

CONSIDERING:

That, article 224 of the Single Ordered Text of the Securities Market Law, Legislative Decree No. 861, approved by Supreme Decree No. 020-2023-EF, establishes that the Superintendency of the Securities Market approves the bylaws of securities clearing and settlement institutions and their amendments, except in the case of capital increases and others that the Superintendency of the Securities Market may provide through general rules;

That, by document submitted on 25 January 2024, CAVALI S.A. I.C.L.V. requested approval of the amendment of articles Thirty-Second, Thirty-Fifth and Thirty-Sixth of its bylaws. For this purpose, it submitted the information indicated in: (i) article 26 of the Regulation of Securities Clearing and Settlement Institutions, approved by Conasev Resolution No. 031-99-EF/94.10 and its amendments; and, (ii) the Single Text of Administrative Procedures of the Superintendency of the Securities Market, approved by Superintendent Resolution No. 023-2015-SMV/02 and its amendments;

That, the requested amendment has the purpose of implementing corporate governance in the framework of regional integration with the Santiago Stock Exchange, the Stock Exchange and the Colombian Stock Exchange.;

That, from the evaluation of the documentation and the support submitted by CAVALI S.A. I.C.L.V., it has been determined that the request for amendment of its bylaws is admissible; and,

In accordance with the provisions of article 224 of the Single Ordered Text of the Securities Market Law, Legislative Decree No. 861, approved by Supreme Decree No. 020-2023-EF; article 26 of the Regulation of Securities Clearing and Settlement Institutions; and, article 12, numeral 2, of the Regulation of Organization and Functions of the Superintendency of the Securities Market, approved by Supreme Decree No. 216-2011-EF and its amendments;

RESOLVES:

Article 1.- Approve the amendment of articles Thirty-Second, Thirty-Fifth and Thirty-Sixth of the bylaws of CAVALI

Article 2.- Order the dissemination of this resolution on the Institutional Page of the Superintendency of the Securities Market on the Single Digital Platform of the Peruvian State (www.gob.pe/smv).

Article 3.- Transcribe this resolution to CAVALI S.A. I.C.L.V.

Article 4.- This resolution shall enter into force on the day of its notification.
