CFTC Staff Advisory on Swap Execution Facility Registration Requirements

Entities operating facilities for the trading or processing of swaps must register as a Swap Execution Facility (SEF) if they meet the statutory definition, regardless of whether the facility uses non-electronic methods or facilitates swaps not subject to the trade execution requirement. Registration is required if multiple participants have the ability to execute or trade swaps by accepting bids and offers from multiple participants, which includes one-to-many or bilateral communication systems where more than one participant can initiate such communications. Entities already registered with the Commission in other capacities, such as commodity trading advisors or introducing brokers, are not exempt and must evaluate whether their operations trigger SEF registration obligations.
