The Division of Clearing and Intermediary Oversight grants commodity pool operators relief to prepare annual financial reports using International Financial Reporting Standards instead of US GAAP for specific offshore pools. This exemption is granted under Commission Regulations 140.93 and 4.12(a) subject to conditions requiring the use of AICPA valuation methods, reporting of realized and unrealized gains through the Statement of Operations, preparation of a condensed schedule of investments, and reporting of special allocations per CFTC Interpretative Letter 94-3. The relief applies to the CPOs of Pools A through F and remains contingent upon continued compliance with these conditions and immediate written notification of any operational changes.

Based upon your correspondence, the Division understands the pertinent facts to be as follows:

prepared and presented in accordance with generally accepted accounting principles. This provision consistently has been interpreted by Division staff to mean US GAAP. Commission Regulation 4.13(c)(2) states that if a CPO of a commodity pool operated pursuant to a Regulation 4.13 exemption provides participants with annual financial reports, such annual financial reports must be prepared and presented in accordance with generally accepted accounting principles. Like the Division’s interpretation regarding Regulation 4.7, this provision consistently has been interpreted by the Division staff to mean US GAAP. You have represented in your correspondence that the Pools’ financial reports would be prepared in accordance with IFRS in lieu of US GAAP, and would comply with the following conditions:
