The Division of Clearing and Intermediary Oversight provides no-action relief to entity B from registering as a commodity pool operator under Section 4m(1) of the Commodity Exchange Act, allowing entity C to serve as the pool's CPO instead. This relief is granted on the condition that entity C remains registered as a CPO and serves in that capacity. Entity B must continue to comply with all other applicable Act provisions, including antifraud rules and specific reporting requirements in Parts 15, 18, 19, and 4 of the Commission's regulations.
