1993-12-17 | CFTC Staff Letter 94-11Added · Updated
The Division of Trading and Markets grants a no-action position relieving a registered commodity pool operator from compliance with Rules 4.21, 4.22, and 4.23(a)(10) and (a)(11) regarding the operation of specific funds offered exclusively to high-level employees and shareholders of its parent company. This relief is contingent upon the operator disclosing to prospective participants that full Commission rule disclosures are not being made and distributing periodic and annual reports specified in Rule 4.7(a)(2)(ii) and (a)(2)(iii) instead of those required by Rule 4.22. The operator must maintain copies of these reports at its main business office in accordance with Rule 1.31 and remains subject to all other applicable requirements, including antifraud provisions and reporting obligations under Parts 15, 18, and 19.
