The Division of Trading and Markets grants no-action relief to entity X, allowing it to operate offshore pool Y without registering as a commodity pool operator, provided X is wholly owned by US person A, who is a registered associated person of registered CPO/CTA Z. This relief is conditioned on Z accepting joint and several liability for X's activities within thirty days and maintaining equivalent books and records at Z's US office for inspection within seventy-two hours. The Division also exempts X from Rule 4.23 requirements to keep original books and records at its main business office, permitting originals to remain offshore to satisfy tax requirements while duplicates are kept in the United States.
