Commission Guidance Regarding the Public Company Accounting Oversight Board's Auditing and Related Professional Practice Standard No. 1

The Securities and Exchange Commission interprets references to generally accepted auditing standards (GAAS) in its rules, staff guidance, and federal securities laws as referring to the standards of the Public Company Accounting Oversight Board (PCAOB) for issuers. This interpretation applies to auditors' reports issued or reissued on or after May 24, 2004, requiring such reports to state compliance with PCAOB standards rather than GAAS. Registered public accounting firms must comply with the more restrictive of the Commission's or the PCAOB's rules, and the guidance clarifies that incorporating previously filed reports by reference does not require a new PCAOB-standard reference. The Commission intends to codify this interpretation in the near future.
