Companies (Further Issue of Shares) Regulations, 2018

Listed companies must communicate board decisions on right, bonus, or other share issues to the Commission and securities exchange on the same day. Right issues require board approval, underwriting by non-associated entities, director/sponsor subscription deposits before book closure, and completion within thirty days; announced issues cannot be varied or withdrawn. Bonus issues require retaining at least fifteen percent of enhanced paid-up capital as free reserves, certified by auditors. Other share issues demand shareholder special resolution, Commission approval, and detailed disclosures regarding pricing, recipients, and asset valuations in meeting notices.
