Compliance Programs of Investment Companies and Investment Advisers

The Securities and Exchange Commission adopts new rules 38a-1 and 206(4)-7 requiring each registered investment company and investment adviser to adopt and implement written policies and procedures reasonably designed to prevent violations of federal securities laws. These entities must review those policies and procedures annually for adequacy and effectiveness, and designate a chief compliance officer responsible for administering them, with the officer reporting directly to the fund board in the case of investment companies. The rules impose these obligations on all registered funds and advisers regardless of size, with compliance required by October 5, 2004.
