Disclosure by Investment Advisers Regarding Soft Dollar Practices

The Securities and Exchange Commission proposes a new rule and Form ADV-B under the Investment Advisers Act of 1940 requiring registered investment advisers with discretion over client brokerage to provide an annual report on their use of client commissions. The report must disclose the twenty brokers receiving the largest commission amounts, the three execution-only brokers receiving the largest commissions, aggregate commission amounts, average commission rates, and details on research or other services obtained from non-execution-only brokers. This disclosure must be provided to existing clients annually and to prospective clients before entering an advisory agreement. Comments on the proposal are due by May 19, 1995.
