Custody of Funds or Securities of Clients by Investment Advisers

The Securities and Exchange Commission proposes amendments to Rule 206(4)-2 under the Investment Advisers Act of 1940 to require investment advisers with custody of client assets to maintain those assets with qualified custodians, such as broker-dealers or banks. The proposal defines custody to include holding client assets directly or indirectly or having authority to obtain possession, while excluding inadvertent receipts returned within one business day. Advisers relieved from sending quarterly statements and undergoing annual surprise examinations if qualified custodians provide monthly statements directly to clients, and exemptions are proposed for registered investment companies and certain pooled investment vehicles. Comments on the proposed rule must be received by September 25, 2002.
