Electronic Recordkeeping Requirements for Broker-Dealers, Security-Based Swap Dealers, and Major Security-Based Swap Participants

The Securities and Exchange Commission amends Rules 17a-4 and 18a-6 to modify recordkeeping obligations for broker-dealers, security-based swap dealers, and major security-based swap participants. The amendments eliminate the requirement for broker-dealers to notify their designated examining authority before using an electronic recordkeeping system and introduce an audit-trail alternative to the existing write-once, read-many format requirement. New provisions allow entities to designate an executive officer or third party to execute undertakings for record access, and require records to be produced in a reasonably usable electronic format upon request. Broker-dealers must comply with the Rule 17a-4 amendments within six months of publication, while Rule 18a-6 amendments require compliance within twelve months.
