Framework for Enhancing the Quality of Financial Information Through Improvement of Oversight of the Auditing Process

This proposed rule would amend Regulation S-X and Regulation S-K to require that a registrant’s financial statements comply with securities laws only if the independent accountant is a member of a recognized Public Accountability Board (PAB) and the registrant is an adjunct member of the same PAB. The Securities and Exchange Commission would not recognize a PAB unless it is dominated by non-accounting professionals, is subject to Commission oversight, and performs functions including periodic quality control reviews and disciplinary proceedings. The proposal also mandates disclosure in Commission filings if an executive officer, director, or director nominee has been sanctioned by a PAB within the preceding five years.
