Holding Foreign Insiders Accountable Act Disclosure

The Securities and Exchange Commission adopted final amendments to implement the Holding Foreign Insiders Accountable Act, which mandates that directors and officers of foreign private issuers with U.S.-registered equity securities file beneficial ownership reports. These rules remove the previous exemption for such insiders from Section 16(a) reporting requirements while explicitly excluding 10 percent holders from this new obligation. The amendments also update Forms 3, 4, and 5 to include optional fields for foreign trading symbols and country codes, with the new requirements becoming effective on March 18, 2026.
