Internal Control Over Financial Reporting in Exchange Act Periodic Reports of Foreign Private Issuers That Are Accelerated Filers

The Securities and Exchange Commission extends the compliance date for the auditor’s attestation report on internal control over financial reporting for foreign private issuers that are accelerated filers but not large accelerated filers. These issuers must begin to comply with the requirement to provide the auditor’s attestation report in their Form 20-F or Form 40-F annual reports for fiscal years ending on or after July 15, 2007. Until this date, the registered public accounting firms retained by these issuers are not required to comply with the attestation obligation in Rule 2-02(f) of Regulation S-X. The extension does not alter the requirement for these issuers to include management’s report on internal control over financial reporting, which remains due for fiscal years ending on or after July 15, 2006.
