Proxy Voting By Investment Advisers

The Securities and Exchange Commission proposes new rule 206(4)–6 and amendments to rule 204–2 under the Investment Advisers Act of 1940, requiring SEC-registered investment advisers with client proxy voting authority to adopt and implement written policies and procedures reasonably designed to vote proxies in clients' best interests. These advisers must disclose their proxy voting procedures to clients, inform clients how to obtain information on how proxies were voted, and retain records of their proxy votes. The proposal excludes state-registered advisers and those relying on registration exemptions, with comments due by December 6, 2002.
