Revision of the Commission's Auditor Independence Requirements

The Securities and Exchange Commission solicits comment on proposed amendments to Rule 2-01 of Regulation S-X and Item 9 of Schedule 14A to modernize auditor independence standards. The proposals establish four governing principles for independence, significantly reduce the number of audit firm employees and family members whose investments in audit clients are attributed to the auditor, and identify specific non-audit services, such as valuation and appraisal, that impair independence. Additionally, the proposals provide a limited exception for firms with certain quality controls and require companies to disclose information regarding non-audit services and leased personnel in annual proxy statements.
