Suspension of the Duty To File Reports for Classes of Asset-Backed Securities Under Section 15(D) of the Securities Exchange Act of 1934

The Securities and Exchange Commission adopts amendments to Exchange Act Rules 12h-3, 12h-6, and 15d-22, and Form 15, to provide for the suspension of reporting obligations for asset-backed securities issuers. The duty to file annual and other reports under Section 15(d) is suspended if, at the beginning of a semi-annual fiscal period, no securities of the class sold in a registered transaction are held by non-affiliates of the depositor, provided a certification on Form 15 is filed. Reporting may also be immediately suspended when no such securities remain outstanding, subject to the condition that the issuer has filed all required reports for the most recent three fiscal years. The rules include provisions clarifying how securities held by brokers or nominees are counted and prohibit suspension if affiliates acquire and resell securities to evade reporting obligations.
