Prospectus Delivery; Securities Transactions Settlement

The Securities and Exchange Commission adopts revisions to rules and forms and a new rule to implement solutions for prospectus delivery issues arising from the transition to T+3 securities transaction settlement. The rules allow prospectuses to be reordered to expedite printing, eliminate the exemption from T+3 settlement for firm commitment offerings, and provide a T+4 standard settlement period for aftermarket pricings. Additionally, the Commission authorizes a modified procedure permitting participants in firm commitment offerings to agree to extended settlement time frames under specific conditions. These changes become effective on June 7, 1995.
