The Securities and Exchange Commission adopted final rules amending the definitions of accelerated and large accelerated filers to reduce compliance burdens for smaller issuers while maintaining investor protections. The amendments exclude smaller reporting companies with annual revenues under $100 million from these categories and raise public float transition thresholds for exiting these statuses from $50 million to $60 million and from $500 million to $560 million. Additionally, the rules add a revenue test to the transition thresholds and require a check box on filing cover pages to indicate whether an internal control auditor attestation is included.
