Acceptance From Foreign Private Issuers of Financial Statements Prepared in Accordance With International Financial Reporting Standards Without Reconciliation to U.S. GAAP

The Commission adopts amendments to Form 20-F and Regulation S-X to permit foreign private issuers to file financial statements prepared in accordance with International Financial Reporting Standards (IFRS) as issued by the International Accounting Standards Board (IASB) without reconciliation to U.S. GAAP. Foreign private issuers utilizing this option must explicitly state in the notes to their financial statements that such statements comply with IFRS as issued by the IASB and provide an unqualified auditor’s report on that compliance. Interim financial statements are also accepted without reconciliation if they fully comply with IAS 34. The amendments apply to financial statements for financial years ending after November 15, 2007, and interim periods within those years contained in filings made after the effective date of March 4, 2008.
