Amendments to Beneficial Ownership Reporting Requirements

The Securities and Exchange Commission adopts amendments creating a new category of Passive Investors eligible to file the short-form Schedule 13G instead of Schedule 13D. This eligibility applies to persons beneficially owning less than 20 percent of a securities class who certify they do not hold the securities to influence or change issuer control. Passive Investors must file initial reports within 10 calendar days of crossing the five percent threshold and amend promptly upon acquiring more than 10 percent or changing ownership by more than five percent. Investors reaching the 20 percent threshold or changing their investment purpose must file Schedule 13D within 10 days and are subject to a cooling-off period prohibiting voting or further acquisitions until 10 days after the Schedule 13D filing.
