Amendments to Regulation SHO

The Securities and Exchange Commission finalizes permanent Rule 204 of Regulation SHO, replacing temporary Rule 204T with modifications to address commenters' concerns. The rule requires participants of a registered clearing agency to immediately purchase or borrow securities to close out any fail to deliver position by no later than the beginning of regular trading hours on the settlement day following the day the fail occurred. Failure to comply with this close-out requirement constitutes a violation of the rule. Additionally, non-compliant participants and any broker-dealers receiving trades for clearance and settlement are prohibited from short selling the security until the fail to deliver position is closed out.
