Amendments to Rules for Nationally Recognized Statistical Rating Organizations

The Commission adopts amendments to Rule 17g-2 requiring nationally recognized statistical rating organizations (NRSROs) to publicly disclose ratings action histories in a machine-readable format, expanding the previous 10% disclosure requirement to cover 100% of credit ratings regardless of the business model. The amendments to Rule 17g-5 mandate that NRSROs hired by arrangers to rate structured finance products disclose the rating process to non-hired NRSROs and obtain representations that information will be shared, while requiring non-hired NRSROs to certify they use such information solely for rating determinations. A conforming amendment to Regulation FD permits the disclosure of material non-public information to NRSROs regardless of whether their ratings are made public. The effective date is February 1, 2010, with a compliance date of June 2, 2010.
